These industry guidance materials terms and conditions (“T&Cs”) govern your (collectively, “you” or “your”) access to and use of Structured Finance Industry Group d/b/a Structured Finance Association’s (collectively “SFA”, “we”, “our”, or “us”) industry guidance materials (“Industry Guidance Materials”). By accessing and using our Industry Guidance Materials, including by clicking the “Download” (or similar) box or button, you accept, without limitation or qualification, to be bound by these T&Cs. If you do not agree and accept, without limitation or qualification, these T&Cs, you must stop use of the Industry Guidance Materials immediately.

These T&Cs are hereby incorporated into the SFA Terms of Use (“Terms”). Capitalized terms used herein without definition shall have the meanings ascribed to them in the Terms. In the event of a conflict between these T&Cs and the main Terms, these T&Cs will control. For the avoidance of doubt, the Industry Guidance Materials are considered a Service under the main Terms.

  1. Ownership: You may use the Industry Guidance Materials, in whole or in part, including any copies, modifications, or derivatives thereof, for any purpose (other than in any way that may be competitive to SFA) as incorporated into your (or your Organization’s) products, services, or offerings. The Industry Guidance Materials, and all related materials, publications, or documentation available through the Services, are the property of SFA, its affiliated companies, and/or SFA’s third party licensors and are protected by copyrights, trademarks, and other intellectual property rights. All trademarks, service marks, and trade names are proprietary to SFA, its affiliated companies, and/or third parties. You must not remove, alter, or obscure any copyright, patent, trademark, or other proprietary or restrictive notice or legend contained or included in any part of the Industry Guidance Materials, and you will reproduce and copy all such notices and legends on all copies, modifications, and derivatives of any part of the Industry Guidance Materials that you are permitted to make hereunder.
  2. License: Subject to the Terms and these T&Cs, SFA grants you a revocable, non-exclusive license and right to (a) access and use the Industry Guidance Materials through the Services; and (b) download and distribute the Industry Guidance Materials, in whole or in part, and any related information and materials that we provide in accordance with these Terms, except that the rights granted herein will not permit you to use the Industry Guidance Materials that is in any way competitive to SFA. You will not grant any rights to any third party that are broader than the rights granted herein, and you will be responsible and liable for any act or omission, or any violation of the terms set forth herein, by any such third party that you have granted any subsequent rights to as permitted hereunder. Any other use of the Industry Guidance Materials is strictly prohibited. Any breach of these T&Cs by you will automatically terminate the foregoing license. We reserve all rights not expressly granted in these T&Cs, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in the Industry Guidance Materials and all related items.
  3. Anti-Competitive Use: The Industry Guidance Materials are not intended for monetization purposes, but instead were created by SFA for use by the industry. You agree not to use the Industry Guidance Materials to create a product or service or utility which in any way is competitive, directly or indirectly, with the Industry Guidance Materials.
  4. Feedback: As a condition of access to and use of the Industry Guidance Materials and the license rights granted herein, you agree to provide SFA with feedback and recommendations on how to improve the Industry Guidance Materials for use in the industry and for subsequent updates or versions to be created and distributed by SFA. SFA can use and freely exploit any information, feedback, suggestions, improvements, comments, or the like that you provide to us in connection with your use of the Industry Guidance Materials hereunder (“Feedback”) and the Feedback will become and remain the property of SFA. No compensation will be paid with respect to the use of any Feedback that you provide to SFA and SFA is under no obligation to use any of your Feedback. You will not give to SFA any Feedback that is the confidential information of any third party to whom you owe a duty of confidence or that would infringe any third party’s intellectual property rights.
  5. Indemnification: You will indemnify, defend (at SFA’s request), and hold harmless the Released Parties from and against any claim or demand, including reasonable attorneys’ fees, made by any third party relating to or arising out of your Feedback, your use of the Industry Guidance Materials (by you or any other third party you provide access to), your use of any information you learn from your use of the Industry Guidance Materials, your breach of these T&Cs, or your violation of any laws.
